An appointment letter is the formal employment contract that an Indian employer issues to a new employee on or shortly after the date of joining. While the offer letter outlines the proposed terms, the appointment letter is the comprehensive document that incorporates company policies, statutory benefits, code of conduct, confidentiality, and termination provisions. It is signed by both the employer and the employee and becomes the primary reference document for any future dispute relating to the employment.

Legal considerations under Indian law

The appointment letter is the principal employment contract under the Indian Contract Act, 1872. It must align with statutes such as the Code on Wages, 2019, the Code on Social Security, 2020, the Industrial Employment (Standing Orders) Act, 1946 (for establishments to which it applies), and the Shops and Establishments Act of the relevant state. Non-compete clauses operative after termination are generally void under Section 27 of the Contract Act, but confidentiality, IP assignment, and reasonable non-solicitation obligations are enforceable. For establishments covered by the Industrial Disputes Act, 1947, any termination of a workman must follow the prescribed procedure.

Companies should also ensure that the appointment letter is consistent with any certified standing orders applicable to the establishment, and with the model standing orders under the Industrial Employment (Standing Orders) Act where applicable. Confidentiality and intellectual property clauses should be drafted with sufficient specificity to be enforceable — broad, indefinite restrictions are likely to be read down or struck off by courts. Where the employee is being assigned to work outside India, the appointment letter should clearly address the law that governs the relationship and the social security position in the host country.
